These Terms & Conditions ("Terms") are a template for JewelEntry's website and app. Please have them reviewed by a qualified professional before publishing, to ensure they reflect your actual business practices and comply with applicable law.

1. Acceptance of Terms

These Terms govern access to and use of JewelEntry's website, web application, mobile application and desktop software (together, the "Service"), operated by JewelEntry ("we", "us", "our"). By registering for, accessing, or using the Service, you ("you", "your", or your "firm") agree to be bound by these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business.

2. Accounts & Eligibility

  • You must be at least 18 years old and legally authorized to operate a business to create an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, including sub-users you create.
  • You agree to provide accurate, current business and contact information and to keep it updated.
  • You must notify us promptly of any unauthorized use of your account.

3. Subscriptions, Trials & Billing

  • Plans (Starter, Professional, Enterprise, or custom plans) and their features are as described on our pricing page or in your order form.
  • New accounts may receive a 14-day free trial, as stated at signup; features available during trial may differ from paid plans.
  • Subscription fees are billed in advance on a recurring basis (monthly/annually, as selected) and are generally non-refundable except where required by law or expressly stated otherwise.
  • We may change subscription pricing with reasonable advance notice; continued use after a price change takes effect constitutes acceptance.
  • You are responsible for any taxes applicable to your subscription, excluding taxes on our net income.

4. Use of the Service

You agree to use the Service only for lawful business purposes and agree not to:

  • Use the Service to violate any applicable law or regulation, including tax, consumer-protection, or precious-metals trade regulations
  • Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service or its underlying software
  • Resell, sublicense, or provide the Service to third parties outside your own firm without our written consent
  • Upload harmful code, or content that infringes the rights of others
  • Interfere with or disrupt the integrity or performance of the Service

5. Your Data & Content

You retain ownership of the business data, images, and records you enter into the Service ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide and improve the Service. You are solely responsible for the accuracy, legality, and appropriateness of Your Data, including customer KYC information and images you upload. Our handling of personal data is further described in our Privacy Policy.

6. GST, Girvi/Loan & Regulatory Compliance

JewelEntry provides tools to help generate GST-ready invoices, HUID-compliant tags, and Girvi/loan records, but these tools do not constitute legal, tax, or financial advice. You remain solely responsible for:

  • The accuracy of GST rates, HSN/SAC codes, and filings made using data from the Service
  • Compliance with HUID/hallmarking, KYC, moneylending/pawnbroking, and other regulations applicable to your business and jurisdiction
  • Verifying calculations (including interest, making charges and rates) before relying on them for statutory filings or customer transactions

7. Desktop & Mobile Applications

Where you download our Windows desktop installer or mobile app, you are granted a limited, non-exclusive, non-transferable license to install and use it solely in connection with an active JewelEntry subscription. We may release updates, and some updates may be required to continue using the Service.

8. Intellectual Property

The Service, including its software, design, logos, and trademarks, is owned by JewelEntry or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, branding, or proprietary software outside of using the Service as permitted.

9. Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (e.g., internet, hosting, gold-rate data providers), or events beyond our reasonable control may affect availability.

10. Suspension & Termination

  • You may cancel your subscription at any time; access continues until the end of the current billing period.
  • We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or engage in activity that we reasonably believe is harmful to the Service or other users.
  • Upon termination, we may retain Your Data for a limited period to allow export, after which it may be deleted in accordance with our data retention practices.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that gold/silver rate data, GST calculations, or reports generated by the Service are error-free or suitable for every regulatory purpose; you should independently verify figures before relying on them.

12. Limitation of Liability

To the maximum extent permitted by law, JewelEntry and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless JewelEntry and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your violation of these Terms or applicable law.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

15. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via the Service or by email, and the "Last updated" date above will reflect the revision. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
